- Served as financial advisor to the secured lenders to Solo Cup Company, a manufacturer, supplier and distributor of disposable beverage cups, plates and bowls.
M&A/Capital Markets & Due Diligence
- Negotiated debtor in possession and exit financing for Maidenform and successfully implemented a plan of reorganization.
- Represented the senior lenders to APS Holding Corporation, a national distributor and retailer of automotive replacement parts, tools and equipment, to evaluate debtor-in-possession financing, short-term cash flow and the company’s business plan. RPA also advised on multiple 363 asset sales to different buyers.
- The company successfully restructured operations and the company emerged from bankruptcy with 12 distribution centers and 200 company-owned stores.

- Served as financial and operational advisor to Pyxus International, Inc., an international processor of tobacco, legal cannabis, e-liquids and agricultural products. RPA developed cash flow models, assisted in streamlining of operations, and managed the overall restructuring.
- Served as a financial advisor to the senior secured lenders of Transmar Commodity Group, a company engaged in international cocoa trading. reviewing short-term cash flow and key operating documents. RPA also performed numerous forensic accounting analyses and provided ongoing litigation support to lender counsel.
- Served as financial advisor to the secured lender for a seafood processing and packaging company with multiple processing locations and warehouses.
- Represented the lenders of a sugar trading, distributing and refining company as a financial advisor. Scope included reviewing short-term cash flow, performing borrowing base analyses, and assessing the risk profile of the company’s trading practice.
M&A/Capital Markets & Due Diligence
- Negotiated debtor in possession and exit financing for Pyxus International, Inc. and successfully implemented a plan of reorganization.
- Represented the unsecured creditors committee to BNF Operations LLC, a plant grower for big-box retailers. RPA analyzed the company’s operations and liquidity forecast and assessed potential M&A transactions. The company was subsequently sold through a 363 sale.
- Served as a financial advisor to the lenders of Darling Ingredients, the largest privately held rendering company in the U.S. RPA assisted the company in adopting an intense cost saving program which included selling off underperforming plants and also advised on an out-of-court debt for equity conversion.

Restructuring Advisory
- Represented the lenders of Mallinckrodt during the Company’s Chapter 11 proceeding, analyzing and challenging the Company’s RSA, negotiating use of cash collateral, analyzing and reviewing near-term cash flow budgets and budget compliance, evaluating impact of significant litigation claim settlement negotiations on Company’s Plan of Reorganization.
- Represented the lenders of Kindred Healthcare, Inc. as a financial advisor analyzing the impact of DOJ enforcement actions on the business plan, capital expenditure requirements for regulatory compliance and renegotiating loan and covenant amendments.
- Served as CRO and financial advisor to the board of directors of a proton therapy center. Responsibilities included cash flow forecasting, implementing liquidity preservation measures, providing the board with multiple financial restructuring options, and negotiating a forbearance and amendment to the Company’s credit agreement.
- Served as estate trustee of the Graceway Pharmaceuticals LLC, a Tennessee based pharmaceuticals company, to oversee the orderly wind-down and liquidation of the company.
- Served as financial advisor to a developer and manufacturer of diagnostic tests. Reviewed the company’s liquidity position and recommended solutions to address an anticipated liquidity shortfall.
- Served as financial advisor to a national specialty pharmacy company which dispenses specialty/orphan drugs for extremely rare conditions and provides in-home nursing services.
Operations/Management
- Acted as the CFO of a portfolio of senior living communities and outpatient care centers, overseeing billings and collections, establishing operating metrics and benchmarking, and overseeing the implementation of several IT initiatives.
- Served as financial advisor providing forensic accounting analyses to the equity investor for a distributor of medical supplies to the maritime industry.
M&A/Capital Markets & Due Diligence
- Developed comprehensive financial feasibility models and market area analyses utilized in obtaining bond financing for healthcare facilities.

Restructuring Advisory
- Advised the senior lenders to SH-130 Concession Company, a 41-mile toll road developed via public private partnership (P3) with TxDOT, during the course of a comprehensive restructuring.
- Successfully coordinated the approval of SH-130’s Plan of Reorganization via negotiations with differing project stakeholders including the equity sponsor, TxDOT, TIFIA, hedge funds and commercial lenders.
- Engaged as financial advisor to the secured lenders to South Bay Expressway to negotiate with the equity sponsors and project contractor and, subsequently guide SBX through chapter 11.
- Served as advisor to the Steering Committee of the lender Group to the Indiana Toll Road, a 157-mile P3 toll road, to explore potential restructuring alternatives with ITR’s equity sponsors.
- Represented Travelers, the surety bond provider to Modern Continental, a heavy-construction contractor on the Central Artery/Tunnel Project (the “Big Dig”) in Boston, MA.

- Served as the Chairman of the Board of South Bay Expressway an 11-mile private toll road in Southern California.
M&A/Capital Markets & Due Diligence
- Secured DIP financing and coordinated with a new money lender to syndicate a $260 million investment grade facility to fund SH-130’s exit from bankruptcy and the repair of the road.
- Negotiated the sale of South Bay Expressway to a third party at a premium to the project value as determined at the emergence from chapter 11.

- Served as advisor to the senior lenders to Copperweld, a manufacturer of steel and bimetallic products. RPA evaluated the company’s operations, management team and long-term business plan as wells as DIP and exit financing terms.
- Served as advisor to the senior lenders of Al Tech Specialty Steel Corp, a manufacturer of specialty steel products, to evaluate operations, cost structure, business plan, and general viability of the Company.
- Advised Jorgensen Forge Corporation, a manufacturer of high-quality, material grade forgings, in the implementation of a successful profit improvement plan and the refinancing its existing credit facility.
- Represented RHC/Spacemaster Corp, a manufacturer of retail store fixtures and warehouse racking systems, to stabilize business operations, improve cash flows and position the Company for sale. Subsequently, served as the Company’s sell-side representation in a successful §363 auction process which led to a near par recovery for the lender group.
- Acted as financial advisor to a non-public spring and wire manufacturer and successfully restructured the company’s senior and subordinated debt resulting in increased liquidity.
- Represented the equity sponsor of Ormet Aluminum, a U.S. producer of aluminum, assisting in the financial planning and analysis required for the post-bankruptcy restart of the facility.
M&A/Capital Markets & Due Diligence
- Advised the senior lenders to CST Industries through a §363 sales process which resulted in a par recovery.
- Served as a M&A advisor to a non-public instrument manufacturer resulting in a sale of the company to a third-party industry buyer.
